These Terms and Conditions govern your access to and use of Serpitis, including our website, web application, dashboards, site audit tools, AI assisted features, reporting workflows, hosted checkout flows, and related services we provide (collectively, the "Service").

These Terms and Conditions govern your access to and use of Serpitis, including our website, web application, dashboards, site audit tools, AI assisted features, reporting workflows, hosted checkout flows, and related services we provide (collectively, the "Service").

By creating an account, accessing the Service, or using any part of Serpitis, you agree to these Terms and Conditions. If you do not agree, do not use the Service.

1. Who We Are

Serpitis is operated by Serpitis ("Serpitis," "we," "us," or "our"). Questions about these Terms and Conditions may be sent to legal@serpitis.com.

2. Eligibility

You may use the Service only if:

  • you can enter into a legally binding agreement;
  • you are authorized to act for yourself and any business or organization you represent;
  • your use of the Service complies with applicable law and third party rights.

3. Accounts and Workspace Access

Some features require an account. You must provide accurate and current information, keep your login credentials secure, and promptly update account details when they change.

You are responsible for all activity under your account and for ensuring that only authorized users access your workspace.

Serpitis may apply workspace, invitation, or domain based controls. For example, a company domain may be associated with a single owner workspace, and additional users from that domain may need an invitation before they can join.

4. Service Scope

Serpitis is a search analytics and reporting platform. Depending on your plan, connected accounts, and product configuration, the Service may include:

  • Google Search Console, Google Analytics 4, and optional Gmail connected workflows;
  • site audit, dashboard, widget, export, folder, and reporting features;
  • workspace administration, collaboration, and plan limit controls;
  • AI assisted summaries, generated widgets, and reporting support.

We may add, remove, modify, suspend, or discontinue features at any time. We do not guarantee that every feature will always be available, uninterrupted, or error free.

5. Third Party Services and Connections

Certain Service features depend on third party services, including Google services, payment processors, hosting providers, email providers, and AI providers.

If you connect an external account or use a hosted third party flow, you authorize us to access and process the data reasonably necessary to provide the requested feature.

  • Your use of third party services is also governed by their own terms and privacy policies.
  • Third party providers may change, restrict, or discontinue access at any time.
  • We are not responsible for outages, provider side API changes, account suspensions, or data restrictions caused by third parties.

6. Billing, Subscriptions, and Plan Changes

Paid features may require a subscription, usage based entitlement, or other fee. Self serve subscriptions are billed at the workspace level and are generally managed by the workspace owner.

Serpitis may use a designated third party payment processor to provide checkout, invoices, receipts, plan changes, stored payment methods, and renewal management.

  • fees, taxes, and billing intervals are shown in the pricing page, checkout flow, invoice, order form, or billing interface;
  • subscriptions renew automatically for the selected billing interval until canceled;
  • the workspace owner or billing owner is responsible for plan selection, upgrades, downgrades, cancellations, taxes, and payment disputes for that workspace.

For active managed subscriptions, plan changes may be processed immediately using the payment processor's proration logic shown in product or during checkout. In the current Serpitis self serve flow, upgrades are typically billed immediately on a prorated basis, while lower priced changes may create subscription credits or invoice adjustments rather than a cash refund.

If an immediate charge is required for an upgrade and the processor cannot collect it, the requested upgrade may be delayed or blocked until payment succeeds.

7. Free Trials

Certain plans may include a time limited free trial. Eligibility, trial length, and any card on file requirement are determined by the checkout flow presented at the time of sign up.

If you start a trial that requires a payment method, you authorize Serpitis and its payment processor to store that payment method and automatically charge the applicable subscription fee when the trial ends unless you cancel before the first paid renewal.

8. Customer Data and Permissions

As between you and Serpitis, you retain ownership of the prompts, configurations, uploads, connected account data, reports, and other information you submit to or process through the Service ("Customer Data").

You grant Serpitis a limited, nonexclusive right to host, copy, transmit, transform, analyze, and otherwise process Customer Data as necessary to:

  • operate, maintain, secure, and support the Service;
  • provide requested integrations, reports, exports, and AI assisted outputs;
  • prevent abuse, diagnose incidents, and improve reliability;
  • comply with law and enforce our agreements.

You represent that you have all rights, notices, and permissions needed to submit Customer Data to the Service and to authorize Serpitis to process it as described in these Terms and Conditions.

9. Acceptable Use

You agree not to:

  • use the Service for unlawful, fraudulent, deceptive, or abusive purposes;
  • upload malware, spam, or content that infringes privacy, intellectual property, or other rights;
  • attempt to gain unauthorized access to accounts, data, systems, or networks;
  • interfere with the integrity, security, or normal operation of the Service;
  • use the Service with data or accounts that you are not authorized to access;
  • misuse AI or automation features to produce harmful, misleading, or prohibited material.

10. AI Features

Serpitis may provide AI assisted outputs such as summaries, recommendations, generated widgets, narrative reporting, or prompt suggestions. AI output may be incomplete, inaccurate, or unsuitable for your use case.

You are responsible for reviewing, validating, and deciding whether to rely on AI generated output before using it for business, legal, financial, technical, or compliance decisions.

We may use third party AI providers to process prompts and related Service context needed to generate those outputs.

11. Refunds, Cancellations, and Termination

Refunds, cancellation timing, downgrade effects, and other billing specific rules are described in our separate Refund and Cancellation Policy.

You may stop using the Service at any time. We may suspend, restrict, or terminate access immediately if we reasonably believe that:

  • you violated these Terms and Conditions;
  • your use creates legal, fraud, security, or operational risk;
  • we are required to do so by law or by a material requirement of a third party provider;
  • amounts remain overdue after reasonable notice where applicable.

On termination, your right to use the Service ends immediately, but provisions that by their nature should survive will continue to apply, including ownership, payment obligations, disclaimers, limitations of liability, and dispute related provisions.

12. Availability and Service Changes

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted access. The Service may be unavailable because of maintenance, bugs, security incidents, provider failures, infrastructure issues, or events outside our reasonable control.

We may change or retire features, integrations, pricing, packaging, limits, and product experiences from time to time.

13. Intellectual Property and Feedback

The Service, including its software, interface, design, branding, documentation, and underlying technology, is owned by or licensed to Serpitis and is protected by applicable intellectual property laws.

Except for the limited right to use the Service under these Terms and Conditions, no rights are granted to you.

If you provide feedback, ideas, or suggestions about the Service, we may use them without restriction or compensation to you.

14. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERPITIS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NONINFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR FREE, OR PRODUCE ACCURATE OR COMPLETE RESULTS.

Serpitis does not provide legal, tax, accounting, investment, or other professional advice. Analytics outputs, AI outputs, audit reports, and recommendations are informational only.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERPITIS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERPITIS'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS AND CONDITIONS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO SERPITIS FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless Serpitis and its affiliates, officers, employees, contractors, and licensors from and against claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:

  • your use of the Service;
  • your Customer Data;
  • your violation of these Terms and Conditions;
  • your violation of applicable law or third party rights.

17. Changes to These Terms

We may update these Terms and Conditions from time to time. If we make material changes, we may notify you through the Service, by email, or by updating the "Last updated" date above. Continued use of the Service after the updated Terms take effect means you accept the revised Terms, unless applicable law requires a different process.

18. Governing Law and Disputes

To the extent permitted by law, these Terms and Conditions and any noncontractual disputes arising out of or relating to them are governed by the laws applicable to the Serpitis contracting entity identified in your order form, invoice, checkout confirmation, or other binding commercial document, without regard to conflict of laws rules.

If no separate commercial document identifies a different rule, disputes will be brought in the courts that have competent jurisdiction over the Serpitis contracting entity, except to the extent mandatory law in your jurisdiction allows or requires otherwise.
